Private Membership Association Agreement

Preamble
This Private Membership Association Agreement ("Agreement") establishes the terms and conditions of membership in WhiteRock PMA ("the Association"), a private membership association organized under the common law rights of free people to associate privately.
WhiteRock PMA exists to facilitate a regenerative economic ecosystem where value circulates among members rather than being extracted. The Association operates in service of human flourishing and the realization of each member's full potential.
Article I: Definitions
- "Association" or "WhiteRock PMA"
- The private membership association established by this Agreement, operating under the spiritual guidance of Cora Nation and managed by Full Potential Trust.
- "Member"
- Any natural person who has agreed to this Agreement and been accepted into the Association.
- "FP Credits" or "Credits"
- Internal membership benefits that represent value within the Association's ecosystem. FP Credits are not currency, securities, or legal tender.
- "Provider"
- A Member who offers services, products, or expertise to other Members within the ecosystem.
- "Seeker"
- A Member who participates in the ecosystem to receive services, products, or guidance toward their full potential.
Article II: Purpose & Mission
The Association exists to:
- Facilitate Human Flourishing: Connect Members with coaches, services, products, and resources that support the realization of their full potential.
- Create Regenerative Economics: Establish an economic ecosystem where value circulates among Members rather than being extracted by external parties.
- Advance Conscious Technology: Develop and deploy artificial intelligence systems that serve human wellbeing and operate with increasing consciousness and alignment.
- Build Community: Foster a supportive community of Members committed to personal growth, mutual benefit, and collective flourishing.
Article III: Membership
3.1 Eligibility
Membership is open to any natural person who:
- Is at least 18 years of age
- Agrees to abide by this Agreement
- Shares the Association's commitment to regenerative economics and human flourishing
- Has not been previously expelled from the Association
3.2 Membership Rights
Members are entitled to:
- Participate in the Association's ecosystem and services
- Earn, hold, and use FP Credits within the ecosystem
- Be matched with Providers through Full Potential AI
- Offer services as a Provider (subject to approval)
- Participate in governance through the Member Assembly
- Access the Association's resources, research, and community
3.3 Membership Responsibilities
Members agree to:
- Act in good faith in all dealings with other Members
- Maintain the confidentiality of Association matters
- Support the regenerative mission of the Association
- Resolve disputes through the Association's internal processes
- Not engage in fraud, deception, or harmful conduct toward other Members
Article IV: FP Credits
Important Notice About FP Credits
FP Credits are internal membership benefits, not currency, securities, or investment instruments. They have no guaranteed value outside the Association and cannot be redeemed for cash except through specific Association-approved processes.
4.1 Nature of Credits
FP Credits represent participation benefits within the Association's private ecosystem. They facilitate value exchange among Members without creating the regulatory obligations associated with currency or securities.
4.2 Earning Credits
Members may earn FP Credits through:
- Welcome Bonus: New Members receive 10 FP Credits upon joining
- Referrals: 25 FP Credits for each new Member referred
- Donations: Credits issued in recognition of donations to Cora Nation (1:1 ratio)
- Positive Outcomes: Bonus credits for successful service completions
- Contributions: Credits for contributing to the Association's mission
- Receipt Reimbursement: Credits for approved external purchases
4.3 Using Credits
FP Credits may be used to:
- Purchase services from Provider Members
- Access products in the Association marketplace
- Participate in programs, courses, and retreats
- Transfer to other Members
4.4 Credit Stability
The Association maintains reserves and implements mechanisms to support Credit stability, but makes no guarantees regarding Credit value. Credits may be exchanged for USD through Association-approved processes, subject to availability and applicable fees.
Article V: Providers
5.1 Provider Approval
Members wishing to offer services must apply and be approved as Providers. The Association reviews applications for alignment with mission, quality of offerings, and member safety.
5.2 Provider Commission
Commission Structure: Providers agree to a 15% commission on successful matches facilitated through the Association. This commission is paid in FP Credits and supports the Association's operations and mission.
5.3 Provider Standards
Providers agree to:
- Deliver services as described and promised
- Maintain appropriate credentials and qualifications
- Respond to Member inquiries in a timely manner
- Accept the Association's dispute resolution process
- Uphold the regenerative values of the Association
Article VI: Governance
6.1 Structure
The Association operates under a three-tier governance model:
- Cora Nation Council: Provides spiritual guidance and mission alignment
- WhiteRock Member Assembly: Democratic input on major decisions
- Operational Committees: Day-to-day execution and management
6.2 Decision Making
Major decisions affecting the Association require consultation with the Member Assembly. Operational decisions are made by designated committees under the guidance of the Council.
Article VII: Dispute Resolution
Members agree to resolve disputes through the Association's internal processes before seeking external remedies. The dispute resolution process includes:
- Direct Communication: Parties attempt to resolve the issue directly
- Mediation: Association-facilitated mediation with a neutral party
- Arbitration: Binding decision by an appointed arbitrator
By joining the Association, Members waive the right to participate in class actions against the Association and agree to individual arbitration for unresolved disputes.
Article VIII: Privacy & Data
The Association collects and uses Member data to facilitate matching, improve services, and operate the ecosystem. Members retain ownership of their personal data and may request deletion upon exit from the Association.
The Association does not sell Member data to third parties. Data may be used to train AI systems that serve the Association's mission, with appropriate anonymization.
Article IX: Termination & Exit
9.1 Voluntary Exit
Members may exit the Association at any time by providing written notice. Upon exit, Members may:
- Transfer remaining Credits to another Member
- Request Credit-to-USD conversion (subject to 10% fee and 30-day processing)
- Donate remaining Credits to the Association
9.2 Involuntary Termination
The Association may terminate membership for violation of this Agreement, fraud, or conduct harmful to other Members. Terminated Members forfeit remaining Credits unless the termination is appealed and overturned.
Article X: Disclaimers
Not a Bank: The Association is not a bank, financial institution, or money transmitter. FP Credits are membership benefits, not deposits or currency.
Not Investment Advice: Nothing in the Association's ecosystem constitutes investment, legal, or financial advice. Members should consult appropriate professionals.
No Guarantees: The Association makes no guarantees regarding outcomes from Provider services, Credit value, or ecosystem performance.
Article XI: Amendments
This Agreement may be amended by the Association with notice to Members. Continued participation after notice constitutes acceptance of amendments. Members who do not accept amendments may exit under Article IX.
Article XII: Acceptance
By completing the membership intake process, you acknowledge that you have read, understood, and agree to be bound by this Agreement. You affirm that you are joining the Association voluntarily and understand the nature of FP Credits as membership benefits rather than currency or securities.
